Terms of Business

1. Definitions & Interpretations

1.1. Outlines Design Limited: A company incorporated and registered in England and Wales with company number 09383541, whose registered office is Wansbeck Workspace, Rotary Parkway, Ashington, NE63 8QZ.

1.2. the Client: A person or organisation using the services of Outlines Design Limited.

2. Services

2.1. Outlines Design Limited will allocate design and development resource to the Client inline with the Project Cycle dates.

2.2. All hosting provided by Outlines Design Limited is acquired from ANS / SiteGround. Outlines Design Limited cannot be held responsible for any performance and / or hardware issues with this hosting solution.

2.3. Outlines Design Limited will run daily website backups. Should the Client’s website files be harmed by a third party, Outlines Design will restore the Client’s site using the latest available backup. It is up to the discretion of Outlines Design Limited whether or not this restore warrants an additional charge to the Client.

2.4. The Client will be afforded up to 50GB per month of disk space usage. Any additional space required will be subject to additional hosting charges.

2.5. Any scheduled website reviews will take place between Outlines Design Limited and the Client in the form of a conference call, Skype call or Zoom screen share session.

2.6. ‘SSL’ e.g. a ‘Secure Socket Layer’ or ‘https’, refers to a domain security certificate.

2.7. Outlines Design Limited will provide ongoing support inline with our Ongoing Support Guide.

3. Fees & Payment

3.1. All payments should be made direct to the bank account of Outlines Design Limited (Account Name: Outlines Design Limited, Sort Code: 20-25-29, Account Number: 53506576) in pound sterling.

3.2. The first payment must be paid in advance of the website setup process commencing. Any delays in payment will not impact the contract renewal date.

3.3. All costs must be paid inline with the payment terms stipulated by Outlines Design Limited.

3.4. Any sums which remain unpaid after 20 calendar days will result in services being suspended.

3.5. Debt recovery charges of £50.00 will be added to each outstanding sum after 30 calendar days.

3.6. Should the Client breach any of the payment terms, Outlines Design Limited reserve the right to invoice for the full outstanding contractual amount, plus any debt recovery charges, payable within 30 days.

3.7. All payments made to Outlines Design are non-refundable.

4. Termination

4.1. All contract termination requests must be made and accepted in writing.

4.2. Should the Client terminate prior to the agreed renewal date, Outlines Design Limited will raise a settlement invoice for the total outstanding contractual amount, payable within 30 days.

4.3. Automatic renewal of services will occur should the Client not notify Outlines Design Limited of their desire to cancel these services at least 30 days prior to the annual renewal date.

4.4. Any terminations which occur within 30 days of the annual renewal date, will result in a late termination fee of £100.00 being invoiced to the Client.

5. Ownership

5.1. All HTML, CSS, JavaScript and PHP files provided are property of Outlines Design Limited.

5.2. The Client can purchase all HTML, CSS, JavaScript and PHP files associated with their website at any time, for a fixed fee;

5.2.1. Within first 12 months: £1,200.00

5.2.2. After 12 monthly payments: £900.00

5.2.3. After 24 monthly payments: £600.00

5.2.4. After 36 monthly payments: £300.00
